Terms of Use

1. Introduction
Ndozi is operated by Ndozi Ltd, a company registered in England and Wales. By accessing or using the Ndozi platform you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the platform.
These terms govern your use of ndozisystem.com and all associated applications, APIs and services provided by Ndozi Ltd.
2. Definitions
- Platform — the Ndozi web application at ndozisystem.com and all associated services.
- Operating System (OS) — either Creator OS or Business Command Centre, the two product verticals within Ndozi.
- Tokens — the in-platform credits used to access AI agent features. Tokens are consumed each time you use an agent.
- Agent — an AI-powered assistant within the platform, trained on your business context to perform specific functions.
- Workspace — your personalised environment within Ndozi, containing your business profile, agent configurations and data.
- User — any individual who creates an account on the platform.
- Subscriber — a User with an active paid subscription (Starter, Pro or Growth plan).
3. Account Registration
You must be at least 18 years old to create an account on Ndozi. By registering you confirm that you meet this age requirement. You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You may not create more than one account per person. Sharing account credentials with third parties is prohibited.
4. Token System
Tokens are the currency that powers AI agent interactions on Ndozi. The following rules apply:
- Free plan — 40 tokens awarded on signup, renewed automatically on the 1st of each month. Unused free tokens expire at renewal with no rollover.
- Paid plan tokens — allocated only after confirmed payment via Stripe invoice webhook. No payment confirmation means no token allocation.
- Top-up tokens — purchased separately and never expire. They roll over regardless of plan changes or renewals.
- Refund policy — consumed tokens are non-refundable. Top-up purchases are final.
5. Subscription and Billing
Paid subscriptions are billed monthly via Stripe. By subscribing you authorise Ndozi to charge your payment method on a recurring monthly basis. Cancellation takes effect at the end of the current billing period. You retain access until then. We reserve the right to modify pricing with 30 days notice delivered by email. Continued use after the effective date of a price change constitutes acceptance.
6. AI-Generated Content
You retain full ownership of content you create using Ndozi agents. AI-generated outputs produced from your prompts and business context are assigned to you. Ndozi agents assist your work but their outputs are not guaranteed to be accurate, complete or fit for any particular purpose. You are solely responsible for reviewing, editing and approving AI-generated content before publication or use in your business. You must not rely solely on AI-generated content for financial, legal, medical or regulatory decisions.
7. Acceptable Use
You must not use Ndozi to:
- Violate any applicable law or regulation
- Send unsolicited commercial communications in breach of applicable law
- Generate content that is harmful, defamatory, harassing or discriminatory
- Attempt to reverse engineer, scrape or exploit the platform or its underlying AI systems
- Share your account credentials with third parties
- Circumvent token systems, rate limits or access controls
- Use the platform on behalf of a competitor for intelligence gathering purposes
8. Intellectual Property
Ndozi Ltd owns all rights to the platform, its agents, software, designs, user interface, branding and technology. You retain ownership of all content you submit to Ndozi. You grant us a limited, non-exclusive licence to process that content for the purpose of delivering the service to you. This licence ends when you delete your account or the relevant content.
9. Limitation of Liability
Ndozi is provided on an as-is and as-available basis. To the maximum extent permitted by English law, Ndozi Ltd and its directors, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the platform, including loss of profits, data, reputation or business opportunities. Our total liability in any dispute is limited to the amount you paid us in the preceding 12 months.
10. Termination
You may cancel your subscription and delete your account at any time through your account settings or by contacting hello@ndozisystem.com. We may suspend or terminate accounts that breach these Terms without prior notice. On termination, your data will be handled in accordance with our Privacy Policy.
11. Governing Law
These Terms of Use are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We may update these Terms at any time. For material changes we will provide 30 days notice via email to your registered address. Continued use of the platform after the effective date of any change constitutes acceptance of the new terms.
